Present: Gary Sorkin, Acting Chair, Mia Baumgarten, Richard Ciotti,

Sarah Pechukas Slivka. Also present: Kathleen Bacon, Brian Carlson Ass’t TA, David Ricketts, Sharon Rule Agger

 

  1. A motion to approve the January 4 minutes as corrected was approved 4-0.

  2. A motion to pay the Freeman Law Group the amounts of $250.75 and $93.75 for legal services was approved 4-0.

  3. A motion to pay Travelers Insurance $250. for liability insurance on property owned by WHA was approved 4-0.

  4. A motion that the WHA authorize and approve the hiring jointly with other Defendants in the Sexton Land Court Complaint re: 324 Old Kings Highway of Richard M Golder of Marsh, Moriarty, Ontell & Golder P.C., 18 Tremont Street, Suite 900, Boston MA 02108 to serve as an expert witness in the title research and analysis in this matter and to serve as an expert witness at trial, if necessary: and related thereto, to enter into a Joint Defense Agreement with other Defendants as may be necessary in connection with this matter, such approval to be reviewed and approved by WHA counsel, Peter l Freeman and subject to a mutual agreement on a budget for services was approved 4-0.

  5. A motion that WHA approved the engagement of Peter L Freeman of Freeman Law Group LLC, 86 Willow Street, Yarmouthport, MA 02657 to represent WHA in the lawsuit at the hourly rate of $295.00 for himself and for Kevin T Smith, OF Counsel to Freeman Law Group, and at the hourly rate of $195.00 for paralegals working on this matter and related thereto, acknowledging and agreeing that Mr. Freeman may also represent co-defendant Lower Cape Cod Community Development Corporation in this matter because their interests are aligned with the interests of WHA and therefore any conflict of interest is expressly waived, with the understanding that if any disagreement or dispute between WHA and Lower Cape Cod Community Development Corporation were to arise on the matter, then Mr. Freeman would withdraw from his representation; and that Gary Sorkin is hereby authorized to sign a Conflict in Interest Waiver letter to this effect which will also be signed by Mr. Freeman and Lower Cape Cod Community Development Corporation was approved 4-0.

  6. A motion that WHA is authorized to amend the Land Disposition Agreement with Habitat of Humanity of Cape Cod, INC. dated October 19, 2015 (“the Agreement”) to allow for the development of (4) rather than (3) three single family houses to be sold as affordable houses to be eligible households under the same eligibility requirements as provided in the Agreement was approved 4-0.

  7. It was moved, with reference to the land at 120 Paine Hollow Road owned by the Town of Wellfleet which is to be conveyed to WHA for the purpose of developing affordable housing as per the Special Town Meeting Vote of April 24, 2017, Articles 1 and 2, to approve the deletion of the limitation on the number of buildings but not the number of units (there will still be no more than eight (8) units, which was contained in said Town Meeting Vote: and related thereto, to support the adoption of the forgoing change at the upcoming Town Meeting or Special Town Meeting in 2018. Approved 4-0.

  8. There has been interest in the property at 20 Oyster Lane but no applications to date.

  9. There will be a special meeting on Tuesday February 13 to discuss the properties at Lawrence Rd and Coles Neck Road
